Advice on entering into a key agreement

We provided comprehensive legal support for a highly innovative project aimed at developing a pilot solution for creating a model and interoperability mechanisms for blockchain-based solutions enabling Delivery vs Payment (DvP) settlements of securities transactions. Our client entered into agreement with National Depository for Securities (KDPW) is Poland’s central securities depository and a key infrastructure institution for the capital market. KDPW provides clearing, settlement, and post trade services for financial instruments.

Our involvement included the structuring and negotiation of the cooperation agreement, drafting provisions governing the independent and joint development of technological solutions, licensing and intellectual property rights, and ensuring compliance with financial market regulations, including MiCA and Polish supervisory requirements. We also advised on risk mitigation and legal frameworks for the creation of interoperable blockchain mechanisms and IT solutions developed individually or jointly by the parties.

By ensuring a legally robust structure, we supported the project in leveraging Distributed Ledger Technology (DLT) to transform capital market infrastructure and facilitate secure, 24/7 settlement processes that bridge traditional finance (TradFi) with distributed finance (DeFi).

DORA implementation

We continue to work with the client – a leading payment institution. Due to changes in the legal environment and the commencement of application of Regulation (EU) 2022/2554 of the European Parliament and of the Council of December 14, 2022 on the operational digital resilience of the financial sector and amending Regulations (EC) No. 1060/2009, (EU) No. 648/2012, (EU) No. 600/2014, (EU) No. 909/2014 and (EU) 2016/1011 (the DORA Regulation), the client asked us to prepare the necessary documentation and adapt its operations to the requirements of the DORA Regulation.
